These Terms of Service ("Terms") govern your access to and use of the Spexsure website (spexsure.com) and the Spexsure platform ("Service"), operated by Heuristicworks LLC, a Delaware limited liability company ("Spexsure", "we", "us", "our").
By creating an account, clicking "I Agree", or using the Service in any way, you agree to be bound by these Terms and all policies incorporated by reference. If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree to these Terms, you must not access or use the Service.
Spexsure is an AI-powered PRD (Product Requirements Document) intelligence and ticket generation platform. The Service enables product managers, business analysts, and product teams to analyse PRDs, surface gaps, enrich specifications, and generate structured backlogs for project management tools such as Atlassian Jira.
The Service is offered in two deployment modes:
Commercial terms, seat limits, and AI credit allocations for each tier are set out in the End User License Agreement (EULA), available at spexsure.com/legal/eula, which is incorporated into these Terms by reference. In the event of conflict between these Terms and the EULA on licensing or billing matters, the EULA governs.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes to paid features, we will provide at least 30 days' notice by email. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may make features available in beta or preview status. Beta features are provided "as is" without warranty, may be discontinued at any time, and should not be relied upon for production use. Credits consumed using beta features are non-refundable.
You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Service. The Service is intended for business use only. By using the Service, you represent that you are using it for professional or commercial purposes and not as a consumer in a personal capacity.
The Service is not available to persons or entities located in, organised under the laws of, or controlled by the government of any country subject to comprehensive US or EU sanctions, or to individuals on any applicable denied-persons list.
To access the Service, you must register for an account using Google OAuth or Microsoft Entra ID single sign-on. You agree to:
(a) Provide accurate, current, and complete information during registration;
(b) Maintain the accuracy of your account information and update it promptly when it changes;
(c) Keep your account credentials secure and not share them with any third party;
(d) Notify us immediately at support@spexsure.com if you become aware of any unauthorised access to your account.
You are responsible for all activity that occurs under your account.
To protect the integrity of our subscription model and prevent free-tier abuse, we do not permit registration using email aliases. The following are blocked:
+ character in the local part (e.g. user+alias@example.com)Accounts created using alias techniques may be suspended without notice.
Each individual may hold only one personal account. Creating multiple accounts to circumvent free-tier credit limits, promotional offers, or account suspensions is prohibited and may result in permanent banning of all associated accounts.
Where the Service is used by an organisation, the organisation is the Licensee and bears responsibility for all use by its employees and contractors. The person registering on behalf of the organisation is deemed to have accepted these Terms on the organisation's behalf.
You may use the Service solely for its intended purpose: analysing product requirements documents, reviewing AI-generated gap analysis and enrichment suggestions, and generating structured tickets for product development workflows. Use must at all times comply with applicable law.
You must not use the Service to:
(a) Process, distribute, or store content that is unlawful, defamatory, obscene, harassing, or that infringes any third party's intellectual property or privacy rights;
(b) Introduce or transmit any virus, malware, ransomware, spyware, or other malicious code;
(c) Attempt to gain unauthorised access to any part of the Service, its infrastructure, or the accounts of other users;
(d) Probe, scan, or test the vulnerability of the Service or circumvent any security measure;
(e) Submit adversarial inputs, prompt injection attacks, or content designed to manipulate, jailbreak, or subvert the AI components of the Service;
(f) Scrape, crawl, or systematically extract data from the Service by automated means;
(g) Use the Service to build a competing product or service, or to benchmark Spexsure against a competitor without our prior written consent;
(h) Circumvent, disable, or interfere with any credit metering, rate limiting, access control, or billing mechanism;
(i) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
(j) Facilitate or encourage any of the above.

The Service applies rate limits to protect service availability for all users. Rate limits apply per IP address and per account across AI operations, file uploads, and authentication endpoints. Exceeding rate limits results in temporary throttling. Systematic attempts to circumvent rate limits may result in account suspension.
3.5.1 Automated Detection. The Service employs automated security scanning to detect malicious, adversarial, or unlawful inputs, including but not limited to: prompt injection attacks, jailbreak attempts, inputs containing malware signatures, content facilitating criminal activity, and inputs designed to exfiltrate data or manipulate AI systems.
3.5.2 Right to Archive and Retain. Where the Service's security systems flag an input as malicious or potentially unlawful, Spexsure reserves the right to:
(a) Archive and retain a copy of the flagged content — including the full submission, associated metadata (account ID, IP address, timestamp, user agent, session ID, and any geolocation data available), and the security system's detection output — for as long as Spexsure determines necessary for investigative, evidentiary, legal, or regulatory purposes;
(b) Retain archived content beyond any standard data retention or deletion schedule that would otherwise apply to Your Content under Section 4.5 of these Terms;
(c) Preserve archived content in an immutable, tamper-evident format to maintain its evidential integrity.
3.5.3 Law Enforcement Disclosure. Spexsure may disclose archived content and associated metadata to law enforcement agencies, regulatory bodies, or courts of competent jurisdiction, without prior notice to you, where:
(a) Required by law, subpoena, court order, or regulatory demand;
(b) Spexsure, in good faith, believes disclosure is necessary to prevent or investigate an imminent threat to the safety of any person or system;
(c) The flagged content constitutes or facilitates a criminal offence, including but not limited to: cybercrime, content involving the exploitation of minors, terrorism-related content, or attempts to circumvent export controls; or
(d) Disclosure is required in connection with civil or criminal proceedings initiated by or against Spexsure arising from the flagged submission.
3.5.4 No Notification Obligation. Spexsure is not obligated to notify you that content has been flagged, archived, or disclosed to law enforcement, except where required by applicable law. If Spexsure is legally prohibited from notifying you (e.g. by a gag order or non-disclosure requirement attached to a legal process), we will comply with that prohibition.
3.5.5 Right to Pursue Remedies. Spexsure reserves all available civil and criminal remedies against any person or entity that submits malicious content through the Service, including claims for damages, injunctive relief, costs of investigation and remediation, and referral to appropriate authorities.
3.5.6 Your Acknowledgement. By using the Service, you acknowledge that: (a) you have no expectation of privacy in content that is flagged by Spexsure's security systems as malicious or unlawful; (b) the retention and disclosure rights in this Section survive termination of your account and these Terms; and (c) the exercise of these rights by Spexsure does not constitute a breach of any confidentiality obligation owed to you under these Terms.
"Your Content" means any PRD documents, text, data, or other materials you submit to the Service. You retain all ownership rights in Your Content. By submitting Your Content, you grant Spexsure a limited, non-exclusive, worldwide licence to process, store, and transmit Your Content solely to provide the Service to you.
You are solely responsible for Your Content and the consequences of submitting it. You represent and warrant that:
(a) You own or have the right to submit Your Content;
(b) Your Content does not infringe any third party's intellectual property, privacy, or other rights;
(c) Your Content does not contain personal data of third parties beyond what is strictly necessary for PRD analysis, and any such personal data is processed in compliance with applicable data protection law;
(d) Your Content does not include classified, government-controlled, or export-restricted information unless you have all necessary authorisations.
AI Output generated by the Service (gap reports, enriched PRDs, epics, user stories, tickets) is addressed in full in the EULA, Section 9. The key points:
The Service transmits Your Content to Anthropic PBC for AI processing. By using AI features, you acknowledge this and agree to Anthropic's usage policies. For BYOK plan users, AI calls are made under your own Anthropic account. See the EULA, Sections 2.3 and 8.1, for full details.
For SaaS accounts, Your Content (PRD text, generated tickets, analysis results) is retained for the duration of your active subscription plus 30 days following termination, after which it is deleted. You may export your content at any time via the platform or by contacting support@spexsure.com.
For Captive Deployments, content retention is entirely within your control.
We are not a backup service. We recommend maintaining independent copies of any content you submit to the Service. We are not liable for loss of Your Content due to technical failure, accidental deletion, or service termination.
The Service integrates with Atlassian Jira via OAuth 2.0 to push generated tickets to your Jira workspace. By connecting a Jira workspace, you authorise the Service to create, read, and update issues in your designated Jira project. Your Jira access tokens are encrypted at rest (AES-256-GCM) and used solely to perform the operations you initiate within the Service.
Your use of third-party services connected to Spexsure (including Atlassian, Anthropic, Google, Microsoft, Stripe) is governed by those services' own terms of service and privacy policies. We are not responsible for third-party services and do not warrant their availability, accuracy, or security.
We do not guarantee the availability of any third-party integration. If Atlassian, Anthropic, or another provider changes its API, discontinues a service, or revokes integration access, we will use reasonable efforts to restore functionality but are not liable for any resulting loss of Service capability.
Payment terms, Credit allocations, billing cycle, refund policy, and plan changes are governed in full by the EULA (Sections 2, 7) and your Order. The following applies to all users:
New accounts receive a free allocation of 50 Credits upon registration. Free Credits are subject to the same expiry and non-refund policy as paid Credits. We may change the free Credit allocation at any time without notice.
Paid subscriptions renew automatically at the end of each billing period. You authorise us to charge your payment method on file for the renewal amount unless you cancel before the renewal date.
The Service sends automated email warnings when your Credit usage reaches 80% and 95% of your monthly allocation. It is your responsibility to monitor usage and upgrade or purchase Credit refill packs as needed. We are not liable for service interruptions caused by Credit exhaustion.
Unused AI Credits at the end of a billing period carry forward into the next period ("Rollover Credits") subject to the following per-plan caps:

How it works: At renewal, your new credit balance is calculated as: min(monthly allocation + unused credits from previous period, rollover cap). For example, a Pro subscriber who used 80 of 580 credits will begin the next period with min(580 + 500, 2,000) = 1,080 credits.
Cap rationale: The rollover cap exists to maintain predictable platform capacity and service quality for all users. Large dormant credit balances followed by sudden high-volume usage would adversely affect service availability and cashflow planning. The caps represent approximately 3–4 months of typical usage.
Rollover Credits expire if your subscription is cancelled, downgraded to the Free tier, or your account is terminated. Rollover Credits are non-refundable and have no cash value.
Plan switches: When you switch plans, unused credits from your current plan carry over to your new plan (subject to the new plan's rollover cap).
All fees are exclusive of taxes. You are responsible for all applicable taxes, including VAT, GST, sales tax, and withholding taxes. If we are required to collect taxes, they will be added to your invoice.
The Service, including its software, design, interfaces, AI models, prompts, and documentation, is owned by Heuristicworks LLC and protected by intellectual property laws. These Terms do not transfer any ownership of our intellectual property to you.
"Spexsure" and associated logos and marks are trademarks of Heuristicworks LLC. You must not use our marks without our prior written consent.
If you provide suggestions, ideas, or feedback about the Service, we may use them freely without any obligation to you. Feedback does not constitute confidential information.
We respond to valid copyright infringement notices under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice to legal@heuristicworks.com with: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good-faith belief; and (e) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorised to act.
Our collection, use, and protection of personal data is governed by our Privacy Policy at spexsure.com/legal/privacy, incorporated into these Terms by reference. By using the Service, you consent to data practices described in the Privacy Policy.
You agree that non-public information about the Service, our roadmap, pricing, and business practices that is disclosed to you in the course of using the Service is confidential. You will not disclose such information to third parties without our prior written consent. This does not apply to information that is or becomes publicly available through no fault of yours.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEXTRA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (C) ANY AI OUTPUT WILL BE ACCURATE, COMPLETE, OR FIT FOR A PARTICULAR PURPOSE; OR (D) DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(A) SPEXTRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
(B) SPEXTRA'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (II) ONE HUNDRED US DOLLARS ($100).
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
You agree to defend, indemnify, and hold harmless Spexsure, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your use of AI Output without adequate human review; (d) your violation of any applicable law; or (e) any dispute between you and a third party in connection with your use of the Service.
These Terms are effective from the date you first access the Service and continue until your account is closed or these Terms are terminated.
You may close your account at any time via Settings → Account, or by emailing support@spexsure.com. Closing your account cancels your subscription at the end of the current billing period.
We may suspend or terminate your access to the Service immediately, without notice or refund, if:
(a) You breach these Terms or any incorporated policy;
(b) Your use of the Service poses a security or legal risk;
(c) You fail to pay fees when due after reasonable notice;
(d) We are required to do so by law or court order.
We may also terminate the Service entirely on 60 days' notice to all users.
On termination: (a) your licence to use the Service ends immediately; (b) you lose access to Your Content stored in the Service after the 30-day export window (Section 4.5); (c) Sections 4.3, 7, 9, 10, 11, 12, 13.4, and 14 survive termination.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.
Any dispute arising out of these Terms or the Service shall first be subject to 30 days of good-faith negotiation. If unresolved, disputes shall be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules, in Wilmington, Delaware. Either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND SPEXTRA WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING IN CONNECTION WITH THESE TERMS OR THE SERVICE.
These Terms, together with the EULA, Privacy Policy, AUP, and any Order or DPA, constitute the entire agreement between you and Spexsure regarding the Service and supersede all prior understandings.
We may update these Terms at any time. We will notify you by email at least 30 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree to changes, you must stop using the Service and close your account before the effective date.
If any provision of these Terms is found invalid or unenforceable, that provision will be modified minimally to make it enforceable, and the remaining provisions will continue in effect.
Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it later.
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all assets.
Neither party is liable for delays or failures caused by circumstances beyond their reasonable control, including infrastructure outages, cyberattacks by third parties, natural disasters, or government actions.
